The Role We are seeking a Senior Counsel (Commercial Contracts & Partnerships) to lead legal support across Midi’s commercial ecosystem. In this role you will own a broad deal portfolio—including payor strategic partnership enterprise commercial vendor marketing and influencer agreements. We are looking for a practical business-minded deal lawyer who can effectively manage risk drive revenue velocity and build scalable contracting processes as Midi expands nationwide. Reporting directly to the Chief Legal Officer you will serve as a key legal partner to business leaders across Commercial Payor Marketing Finance Clinical Product and Operations. Key Responsibilities Commercial Contracting Draft review negotiate and manage commercial agreements including master services agreements statements of work order forms amendments renewals business associate agreements data processing agreements and other transaction documents. Advise internal stakeholders on contract structure risk allocation approvals escalation points and implementation requirements. Maintain and improve contract templates clause libraries fallback positions playbooks and approval workflows. Review customer partner and vendor paper and identify issues involving indemnification limitation of liability insurance intellectual property confidentiality data rights audit rights termination publicity and regulatory compliance. Support high-volume contracting while escalating material novel or strategically significant issues to the Chief Legal Officer. Payor & Healthcare Partnerships Support agreements with health plans employers benefits consultants brokers third-party administrators healthcare platforms and other strategic partners. Draft and negotiate payor and partnership agreements involving referrals patient access care delivery implementation reporting fees performance standards clinical services marketing and data sharing. Partner with Commercial and Strategic Alliances teams from initial opportunity through negotiation signature implementation renewal and termination. Advise on healthcare contracting issues involving fee structures patient choice clinical independence licensure privacy business associate obligations quality measures service levels and regulatory risk. Help create repeatable contracting frameworks for Midi’s growing partner ecosystem. Vendor & Procurement Agreements Review and negotiate vendor agreements SaaS agreements professional services agreements technology agreements marketing agreements and operational contracts. Assess vendor risk based on data access clinical impact patient-facing activity operational criticality contract value and security posture. Coordinate with Procurement Finance Information Security Privacy Product and Operations on vendor intake diligence approvals renewals and offboarding. Support vendor notices amendments termination letters transition documentation and contract rationalization. Improve vendor contracting standards templates workflows and reporting. Influencer Marketing & Consumer Agreements Draft and negotiate influencer creator affiliate sponsorship ambassador media and marketing agreements. Advise Marketing and Brand teams on disclosures endorsements testimonials health claims advertising substantiation intellectual property usage rights exclusivity approvals and content takedown rights. Support consumer-facing initiatives involving Midi’s store supplements compounded cosmetics patient education social media and digital campaigns. Coordinate with regulatory and privacy counsel on claims consumer data patient stories testimonials and health-related marketing content. Contract Management & Legal Operations Maintain contract repositories matter trackers renewal calendars obligation trackers and reporting processes. Help implement and improve Midi’s contract lifecycle management system including intake templates approval routing signature storage renewals and post-signature obligations. Develop practical guidance that enables business teams to use approved templates and resolve routine contract questions efficiently. Identify recurring negotiation issues and convert them into playbooks standard language and self-service resources. Use legal technology and artificial intelligence tools responsibly to improve contract review drafting issue spotting and knowledge management. Cross-Functional Legal Advice Serve as a trusted legal advisor to Commercial Strategic Alliances Payor Finance Procurement Marketing Clinical Product Privacy Information Security and Executive Leadership teams. Explain contract terms and legal risk in clear business language. Balance speed revenue objectives patient impact and risk management when recommending deal structures and negotiation positions. Coordinate with outside counsel on specialized commercial healthcare privacy intellectual property and regulatory matters. What We’re Looking For Required Qualifications Education & Bar Admission J.D. from an accredited law school and active membership in good standing in at least one U.S. state bar (California bar preferred). Experience 8+ years of practicing legal experience with substantial time focused on drafting and negotiating commercial agreements. Healthcare Domain Depth Meaningful healthcare legal experience advising a healthcare provider digital health company telehealth business health plan healthcare services company or healthcare-focused law firm. Practice Background Experience working at a law firm and/or in-house legal department (ideally a mix of both). Contracting Breadth Substantial experience across at least three of the following payor agreements strategic partnerships vendor agreements SaaS agreements professional services marketing agreements influencer agreements DPAs or BAAs. Legal Tech & AI Proficiency using legal technology and artificial intelligence tools responsibly to enhance efficiency and drafting precision. Preferred Qualifications Experience in digital health virtual care women’s health pharmacy supplements compounded products or consumer healthcare. Experience negotiating directly with health plans enterprise employers benefits consultants brokers or healthcare platforms. Familiarity with FTC advertising and endorsement issues health claims patient testimonials or influencer marketing. Experience supporting HIPAA state health privacy information security and healthcare data requirements within commercial transactions. Hands-on experience implementing or administering CLM systems (e.g. Ironclad Salesforce DocuSign CLM) and building contract playbooks or clause libraries. Final compensation will be determined based on candidate experience skills location qualifications and internal equity. Additional Comp Eligible for equity and benefits.
